Since Oneworld’s incorporation in 2003, Oneworld has grown both through acquisitions and through organic growth of its existing businesses.  Oneworld Energy Inc. (was incorporated in Ontario on May 21, 2003 and its original founding shareholders were Daniel Dwyer, Larry Davis and Rokshana Baryole.  In June 2003, Oneworld engaged in discussions with a number of individuals in Ontario with regard to building small wind projects for rural land owners under Ontario’s net metering program.  In addition, Oneworld began to look for opportunities to lease land to develop and construct wind farms for its own account and thus commenced efforts to establish the business.  Prior to 2007, Oneworld’s activities were focused on gathering wind data, and obtaining land leases, permits and EAs for project sites across Ontario.  During this time period, Oneworld also participated in two RFPs put out by the MOE.

Green Breeze Energy Systems Inc. (‘GBES’)  acquired a 51% majority stake in Composotech Structures Inc., a company focused in the turbine blade manufacturing, service and repair business, on April 26, 2006 from Huron Tract Holdings Inc..

WElink Global Limited was incorporated pursuant to the laws of Hong Kong on July 13, 2007. WElink Energy Investments S.a.r.l., was incorporated pursuant to the laws of Luxembourg on December 10, 2007.

COU Capital Inc. was incorporated pursuant to the laws of Ontario on July 16, 2008. Elgan Investments Inc. was incorporated pursuant to the laws of Ontario on August 27, 2007. Elgan System Corp was incorporated pursuant to the laws of Ontario on January 10, 2008.

In June 2008, Oneworld entered into negotiations with the principals of MHB to acquire 100% of MHB, a wind developer in Germany with projects in several EU locations.  The transaction successfully closed on June 21, 2008.

From July 2008 onward, Oneworld began the process of unwinding its various partnership interests and acquiring the outstanding shares of all the above-mentioned affiliated corporations to eliminate its complicated ownership structure.  As such, in November 2008, Oneworld acquired of partnership units from the unit holders of the Powertree LP 1 and Powertree LP 2 in consideration for 750,000 and 1,275,000 Oneworld’s common shares, respectively.

In February 2009, Oneworld amalgamated GBES with 2 other companies to form GBEI.

In April of 2009, Oneworld acquired the partnership units from the unit holders of Green Breeze Technology LP in consideration for 293,700 of Oneworld’s common shares.

WElink Energy (Ireland) Limited was incorporated on June 8, 2009 pursuant to the laws of the Republic of Ireland.

In July 2009, Oneworld acquired 100% of the shares of CWC Wind Power ApS, a Danish based wind developer from Clean World Capital A/S. CWC Wind Power ApS subsequently changed its name to “Oneworld Energy Denmark ApS” in April 2010.  OED has a pipeline of 200 MW of wind energy projects in the EUand provides EPC and commercial and technical operation and maintenance expertise to renewable energy projects in the EU.

On November 25, 2009, Oneworld acquired the shares of COU, a Canadian based solar park developer, from 28 out of 29 shareholders and from the 29th shareholder in January 2010.  COU provides a variety of services to the solar sector including design and development, construction and commercial and technical operation and maintenance expertise to solar energy projects in the EU and in Ontario.  COU has a wholly owned subsidiary, EII and EII has a wholly owned subsidiary, Elgan.

In November 2009, Oneworld acquired an additional 29% stake in CSI from a third party shareholder bringing Oneworld’s total ownership in Composotech to 80%.  A former senior manager owns the remaining 20% of the common shares of CSI.

In February of 2010, COU Capital Inc. changed its name to “COU Solar Inc.”.

In April of 2010, Oneworld transferred the assets and liabilities of Oneworld Solar, its Munich based operating division, to Oneworld Solar Inc.

In May of 2010, COU Solar Inc. changed its name to “Oneworld Solar Corp.”.

In May of 2010 Oneworld acquired 100% of the shares of WElink Global Limited (“WElink”) from WElink Investments BVI Ltd..

Oneworld-Elgan GmbH & Co. KG was incorporated under German law in June 2010.

Oneworld has a number of material subsidiaries and affiliates including Oneworld Solar Corp and Green Breeze Energy Inc. (as to 100%).  In addition, Green Breeze Energy Inc. owns 80% of the issued common shares of Composotech Structures Inc. (as to 80%).

Oneworld Solar Inc. has an operating division in Germany called “Oneworld Solar”.  Composotech Structures Inc. has a wholly subsidiary, Composotech Structures Group Inc. which in turn has a wholly owned subsidiary, Composotech Structures Corp.
